VIP Membership Terms

VIP Membership is a paid subscription available at the Company level (not per individual user) for USD 500 per month (the "Membership Fee"), billed in advance on a recurring monthly basis unless cancelled as described below. All Company Users associated with a Company that holds an active VIP Membership may use the VIP services described in Section 2 on that Company's behalf, subject to the Company's own internal authorization.

Companies without an active VIP Membership use the Platform under the free ("Free") plan and do not have access to the services in Section 2 unless purchased individually where we make that possible.

The individual Company User who completes the purchase is recorded for audit purposes, but the resulting Membership belongs to the Company, not to that individual.

Subject to an active VIP Membership (or, where offered, individual purchase), the following services may be requested through the Platform, each subject to its own scope, fee, and turnaround time as described at the time of request:

• Sample coordination - assistance arranging product samples from a supplier prior to a bulk order.
• Supplier analysis - additional due-diligence information about a counterparty Company compiled from available sources.
• Testing / certification coordination - assistance arranging third-party testing or certification of goods.
• Consolidation and shipping - assistance consolidating multiple orders/shipments and arranging freight.
• Payment intermediary - see Section 3, a distinct paid service with its own terms.

Each VIP service request is tracked individually with its own status and fee, and is not automatically included in the flat Membership Fee unless expressly stated when you request it.

The Membership Fee is billed in USD at the start of each monthly billing cycle and automatically renews for successive one-month terms unless cancelled before the renewal date.

You may cancel auto-renewal at any time from your Company's account settings, or by written request to [email protected]. Cancellation takes effect at the end of the current paid billing cycle; VIP access continues until that date.

Except as required by applicable law, fees already paid for the current billing cycle are non-refundable, including if you cancel or stop using the Platform partway through a cycle. Fees for individually requested VIP services (Section 2) already performed, or in progress, are likewise non-refundable once work has begun, except where we fail to deliver the service as described.

If a Membership Fee payment fails or is not settled by its due date, we may suspend VIP access, downgrade the Company to the Free plan, and/or record the amount as an outstanding due on the Company's account as described in the Terms of Service.

On downgrade to the Free plan (by cancellation or non-payment), in-progress VIP service requests may be completed, paused, or cancelled at our discretion depending on their stage; new VIP service requests can no longer be made until VIP Membership is reactivated.

We may change the Membership Fee, the scope of included/available VIP services, or these VIP Terms, effective for your next billing cycle, by giving you notice before that cycle begins. Continuing an active Membership past that notice constitutes acceptance; if you do not agree, you may cancel before the change takes effect as described in Section 4.

The disclaimers and limitation of liability in the Terms of Service apply equally to VIP Membership and all VIP services, including the payment intermediary service, to the maximum extent permitted by applicable law.
