Terms of Service

The Platform is a business-to-business (B2B) marketplace for electronic components. It is intended for use by manufacturers, authorized distributors, wholesalers, factories, electronics manufacturing services (EMS) providers, brokers, and other commercial entities ("Companies") and the individuals who act on their behalf ("Company Users"). It is not intended for consumers acting outside a trade, business, or profession.

To transact on the Platform (post a request for quote, submit a quote, or list stock), a Company User must be associated with a Company that has completed registration. Registration requires accurate company information (legal name, business type, country, tax/registration identifiers as applicable) and is subject to our review and approval; we may approve, reject, suspend, or mark a Company's verification status at our discretion, including labeling a Company as unverified, verified, blacklisted, or fraudulent based on information available to us.

You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into binding contracts to register an account.

Platform staff and administrators may access the Platform without being associated with a Company, solely to operate and moderate it.

You must provide accurate, current, and complete information during registration and keep it up to date. You may register using an email address and password, or by signing in with a supported third-party identity provider (e.g. Google).

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

We may suspend or terminate an account at any time, with or without notice, if we reasonably believe these Terms have been violated, the information provided is false or misleading, or the account poses a risk to the Platform or other Users.

Catalog and listings. Companies may list components they have in stock ("Selling Leads") against a shared product catalog, and may post requests for quote for components they wish to buy ("Buying Leads" / "RFQs"), including multi-line requests (e.g. imported from a bill of materials / BOM). By default, RFQs are visible to all registered members unless the posting Company restricts visibility.

Quotes. Any Company may submit a price quote against an open RFQ, including a quote covering only some of its line items. Submitting a quote may generate a downloadable Proforma Invoice (PI) for that quote once pricing is entered - this is a commercial document reflecting the quoted terms, not confirmation of an order.

Order formation. A buyer may select one or more quoted line items. Where selected items span more than one supplier, a separate order is created per supplier. An order is not binding on either party until the applicable commercial terms (price, quantity, delivery, payment terms) have been confirmed by both the buyer and the supplier through the Platform's order workflow (PI issuance, and where applicable, Commercial Invoice ("CI") issuance).

Order lifecycle. Orders progress through stages that may include: PI requested, PI issued, CI issued, payment pending/partially confirmed/confirmed, preparing, dispatched, delivered, and completed (or disputed/cancelled). Users are responsible for updating order status accurately and promptly as the underlying transaction progresses.

Ratings. After an order is completed, participating Companies may rate and review each other. Ratings must reflect a genuine transaction and may not be fabricated, exchanged for consideration, or manipulated.

Completed sales facilitated through the Platform are subject to a commission (currently 5% of the order value, as may be updated from time to time and shown to you before the fee applies) payable by the supplier Company to us.

VIP membership fees and VIP service fees are described in the VIP Membership Terms, which form part of these Terms for Companies that purchase VIP membership or any paid service.

Outstanding fees, commissions, and membership dues owed to us are tracked in your account and may result in suspension of your account if left unpaid past their due date.

All fees are quoted in US Dollars (USD) unless stated otherwise and are exclusive of any taxes, duties, or bank charges, which are your responsibility.

You agree not to: (a) post false, misleading, or fraudulent listings, RFQs, quotes, ratings, or company information; (b) attempt to induce another User to complete a transaction outside the Platform in order to avoid fees, while still relying on the Platform's introduction, listing, or trust signals; (c) upload counterfeit, stolen, export-controlled (in violation of applicable law), or otherwise unlawful goods or listings; (d) interfere with the security or normal operation of the Platform, including scraping, reverse engineering, or circumventing rate limits; (e) impersonate another person or entity, or misrepresent your affiliation with a Company; (f) use the Platform in violation of applicable export control, sanctions, anti-money-laundering, or trade laws.

You retain ownership of the content you submit (listings, company information, documents, images). By submitting it, you grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute it as needed to operate and promote the Platform.

The Platform's software, design, trademarks, and "Electronic Parts Market" branding are our property or that of our licensors and may not be used without our prior written consent.

Product names, manufacturer names, and trademarks referenced in listings belong to their respective owners and are used for identification purposes only.

You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your listings or transactions, your breach of these Terms, or your violation of any law or third-party right.

We may suspend or terminate your access to the Platform at any time for violation of these Terms, non-payment of fees, suspected fraud, or at our reasonable discretion, with such notice as is practicable in the circumstances. You may close your account at any time; open orders and outstanding fees survive account closure.

We may update these Terms from time to time. Material changes will be identified by a new version number and effective date, and continued use of the Platform after the effective date constitutes acceptance of the updated Terms. Where required, we will ask you to actively re-accept a materially changed version before you can continue using the Platform.

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong SAR"), without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
