Channel Partner Terms

Version 1.0 · effective 2 November 2026 · Electronic Parts Market

1. Who can be a Channel Partner

1.1 Channel Partners are companies or persons that are EPM Verification Partners and that Electronic Parts Market ("EPM") has accepted as Channel Partners after reviewing their verification work and their sales plan.

1.2 EPM decides on applications at its discretion. Being a Channel Partner does not give an exclusive territory unless EPM agrees to it in writing.

2. What a Channel Partner does

2.1 The Channel Partner finds companies that buy or sell electronics, opens and develops sales channels (distributors, resellers, industry associations, trade groups) and supports the sale of EPM plans and services and of Technology Bazaar products.

2.2 The Channel Partner presents EPM correctly: prices, plans, services and terms as published on electronicpartsmarket.com and technology-bazaar.com. It does not promise prices, discounts, results or conditions that EPM has not confirmed in writing.

3. Referred companies

3.1 A company is referred by the Channel Partner when it registers within 90 days after opening the Channel Partner's referral link, or when EPM assigns it to the Channel Partner. The first valid referral counts; a company is referred by one Channel Partner only.

3.2 Companies that were already registered on EPM before the referral, and the Channel Partner's own company, are not referred companies. In case of doubt EPM decides, considering the evidence both sides provide.

4. Commission

4.1 The Channel Partner earns 15% of every amount a referred company pays to EPM after the referral date for EPM plans (Verified Standard, VIP, VIP+), verification, EPM services and sales commissions, as recorded in EPM's dues ledger.

4.2 The commission is calculated on the amount received by EPM, without taxes, bank charges and third-party costs. Amounts that are refunded, reversed or not received give no commission; commission already paid on them is set off against later commissions.

4.3 The commission is earned for as long as the referred company keeps paying EPM and the Channel Partner programme continues for the Channel Partner, unless EPM and the Channel Partner agree otherwise in writing.

5. Statement and payout

5.1 Each commission appears on the Channel Partner panel as soon as the payment is recorded. EPM approves the lines and pays the approved commissions by bank transfer, as a rule once a month, to the account the Channel Partner names in writing.

5.2 The Channel Partner issues an invoice or receipt where its law requires one and is responsible for its own taxes and social charges. EPM may deduct taxes where the law requires it.

6. Fair play

6.1 No spam, no misleading statements, no use of EPM's name or logo outside the materials EPM provides, no fake registrations, no self-referrals, no bribes or kickbacks, no collecting money from companies on behalf of EPM. Companies pay EPM only, by bank transfer to EPM's account.

6.2 The Channel Partner complies with data protection, anti-corruption, sanctions and competition laws. Personal data of contacts in the pipeline is used only to offer EPM's services and is deleted when it is no longer needed.

7. Independence

7.1 The Channel Partner acts as an independent business. It is not an employee, agent or representative of EPM and cannot sign contracts or accept obligations in EPM's name.

8. Suspension and end

8.1 Either side may end the Channel Partner relationship at any time with 30 days' notice in writing. EPM may suspend or end it at once in case of a breach of these terms; commissions linked to the breach are not paid.

8.2 After the end, commissions already approved are paid. Unless the end was caused by a breach, commissions on payments that referred companies make within 3 months after the end are also paid.

9. Changes and law

9.1 EPM may change these terms and the commission rate; changes are published on this page with a new version and apply to payments recorded after the change.

9.2 These terms are governed by the laws of the Hong Kong Special Administrative Region, like the EPM Terms of Service, and the courts of Hong Kong SAR have jurisdiction. A written partner agreement signed with EPM prevails over these terms.
